Terms and conditions

These Terms and Conditions apply to services supplied by Healthcare Marketing through healthcaremarketing.net.au or otherwise agreed with a client.

By accepting a proposal, making a payment, or engaging our services, you agree to these Terms and Conditions.

1. Limited-time offers

Promotional offers provided by Healthcare Marketing are available only for the period stated in the relevant advertisement, proposal, landing page or offer.

Once the stated expiry date has passed, the offer is no longer available unless we agree otherwise in writing.

We are not required to honour expired promotional pricing, bonuses, free service periods, discounts or other promotional inclusions.

2. Pricing and GST

Unless expressly stated otherwise, all prices displayed or quoted by Healthcare Marketing are exclusive of GST.

GST will be added to the quoted amount where applicable.

All prices are in Australian dollars. Pricing and inclusions are determined by the proposal or contract accepted by the client.

3. Website payment terms

Unless another arrangement is stated in your proposal, 50% of the website project price is payable upfront before the project begins.

The remaining 50% is payable upon completion of the website.

A website is considered complete when the work included within the agreed project scope has been substantially completed and is ready for finalisation or launch.

We may pause work or withhold delivery, transfer, launch or access to a website where an amount that is due remains unpaid.

4. Payment plans

We may offer payment plans to eligible clients at our discretion.

Approval of a payment plan is not guaranteed and may depend on eligibility or other requirements.

Where a payment plan is approved, payment amounts and due dates will be confirmed separately in writing.

5. Late payments

Invoices must be paid by the due date stated on the invoice, proposal, contract or payment arrangement.

If a payment becomes overdue, we may pause or suspend work and services until the outstanding amount has been paid.

This may include pausing website development, SEO, PPC, social media, CRM, maintenance or other services.

Any project timelines or delivery dates may be extended where work has been paused because of an overdue payment.

Where reasonably incurred, the client may also be responsible for costs associated with recovering overdue amounts, subject to applicable law.

6. Website cancellations and refunds

We strongly recommend that clients only make payment once they are satisfied that they wish to proceed with our services.

If you request a cancellation before any work has commenced, we may provide a refund less an administration and processing fee equal to 10% of the amount paid.

Once work has commenced, the initial 50% website payment is generally non-refundable for a change-of-mind cancellation.

Work may include onboarding, project planning, strategy, research, copywriting, website structure planning, design, development, resource allocation or other preparation associated with delivering your project.

The initial payment allows us to allocate staff, schedule resources and begin work. Once this work has commenced, the project cannot simply be reversed because a client later decides not to proceed.

Nothing in this section limits any rights or remedies available under Australian Consumer Law.

7. SEO services

SEO is an ongoing service intended to improve your website’s visibility and rankings within search engines.

The exact SEO services, number of keywords, ranking commitments, target locations and other inclusions applicable to your campaign will be stated in your proposal or contract.

8. SEO keyword selection

At the beginning of your SEO campaign, we will provide keyword options based on the services, locations and campaign being targeted.

You may select up to the number of keywords included within your SEO plan.

You are responsible for reviewing, selecting and approving your keywords within a reasonable timeframe.

The SEO guarantee period does not begin while we are waiting for the client to select, approve or finalise their keywords.

9. 90-day SEO guarantee

Where your proposal includes our 90-Day SEO Guarantee, we guarantee that the number of keywords specified in your proposal will reach the first page within the applicable guarantee period.

The guarantee applies only to the agreed keywords and ranking milestone identified in your proposal or contract.

If we do not achieve the guaranteed first-page ranking milestone within the applicable 90-day period, we will continue carrying out the applicable SEO work without charging our normal SEO service fee until the guaranteed milestone is achieved.

10. When the 90-day guarantee begins

The 90-day guarantee period begins only once the selected SEO keywords have been finalised and confirmed.

Time spent waiting for the client to review, select, change or approve keywords does not form part of the 90-day guarantee period.

11. Websites included with SEO

Where a client is receiving a new website together with SEO services, the website must be completed and launched before the 90-day guarantee period can begin.

A live website is necessary for us to properly proceed with the SEO campaign.

Where both a website and SEO are included, the 90-day guarantee period therefore begins only once:

  1. The website has been completed and launched; and

  2. The agreed SEO keywords have been finalised and confirmed.

12. Client delays and the SEO guarantee

Delays caused by the client do not count towards the 90-day SEO guarantee period.

This includes delays in providing information, website content, feedback, approvals, login details or other required access, as well as delays in approving the website or finalising keyword selections.

The guarantee period will only apply while we are reasonably able to perform the SEO work required.

13. Measuring SEO rankings

Search rankings can vary depending on location, search context, personalisation and changes made by search engines.

For the purpose of determining whether the SEO guarantee has been achieved, rankings will be assessed using our normal SEO rank-tracking methodology for the agreed keywords and target market.

14. Longer-term SEO expectations

SEO rankings develop over time and different keywords may move at different speeds.

Our objective is generally to have the majority of selected keywords reaching first-page positions within approximately six months.

This is an objective rather than an additional guarantee unless your proposal or contract expressly states otherwise.

The specific ranking commitment applicable to your campaign is the guarantee stated in your proposal or contract.

15. SEO refunds

Payments made for SEO services are generally non-refundable for change-of-mind cancellations or where work for the relevant service period has already commenced or been performed.

Where our contractual SEO ranking guarantee is not achieved, our guarantee provides that we will continue carrying out the applicable SEO work without charging our normal SEO service fee until the guaranteed milestone is achieved.

Nothing in this section excludes any rights or remedies available under Australian Consumer Law.

16. PPC and advertising spend

Where we provide PPC or paid advertising management, our service fees cover the management of your advertising campaigns unless otherwise stated in your proposal or contract.

Advertising spend paid to platforms such as Google, Meta or other advertising providers is separate from our management fees unless your proposal expressly states that advertising spend is included.

The client is responsible for maintaining sufficient funds and valid payment methods for advertising platforms where required.

Advertising budgets, management fees and campaign inclusions will be determined by your proposal or service agreement.

17. Project timelines

The estimated timeline for your project will be stated in your proposal, contract or other written project communication and may also be communicated verbally.

Project timelines depend on receiving the information, content, approvals and feedback required from the client within a reasonable timeframe.

Timelines may be extended where delays are caused by the client, requested changes, additional work, third-party services or circumstances outside our reasonable control.

18. Client responsibilities

You are responsible for providing the information we reasonably require to complete your project or services.

This may include practice information, healthcare services, practitioner information, qualifications, images, branding, contact details, login credentials, legal information, locations and other relevant material.

Failure to provide requested information may delay the commencement or completion of your services.

We are not responsible for delays caused by a client’s failure to provide required information, access, feedback or approvals.

19. Client-supplied content and intellectual property

Where you provide us with photographs, videos, logos, graphics, written content, trademarks, documents or other materials, you confirm that you own those materials or have the necessary permission, licence or authority for us to use them in connection with your project.

You are responsible for ensuring client-supplied materials do not infringe another person’s copyright, trademark, privacy, intellectual property or other legal rights.

We may refuse to publish or use material where we reasonably believe its use may be unlawful or infringe another person’s rights.

20. Copywriting and approvals

Where copywriting is included, we may prepare website or marketing content based on information supplied by you.

You are responsible for reviewing the content and either approving it for publication or providing requested corrections and feedback.

Clients must review and respond to copywriting, designs, campaigns and other requested approvals within a reasonable timeframe.

We are not responsible for delays caused by a client’s failure to review or approve content.

The client remains responsible for ensuring information published about their practice, practitioners, healthcare services, qualifications, pricing, claims and other business matters is accurate.

21. Healthcare advertising and content compliance

Healthcare Marketing provides marketing, website and related digital services. We do not provide legal, regulatory, clinical or professional compliance advice.

The client is responsible for ensuring that information and advertising relating to their healthcare practice, practitioners, treatments and services complies with laws, professional obligations and advertising requirements applicable to their practice.

Where we prepare content, advertisements or marketing materials, the client remains responsible for reviewing and approving that material before publication.

22. Changes to project scope

Your project includes the services and deliverables identified in your proposal or contract.

Requests outside the agreed scope may be quoted separately and may affect the project’s completion date.

Any substantial additional work must be agreed upon before that work is undertaken.

23. Revisions

Where a proposal or contract specifies a particular number of revisions or revision rounds, the project includes only the number stated in that proposal or contract.

Additional revisions beyond the agreed allowance may be quoted and charged separately and may extend the project timeline.

Where no revision limit is specified, no specific revision limit is created by this section.

Requests that materially change the original scope, structure, functionality or direction of a project may be treated as additional work rather than a revision.

24. Hosting and domain renewals

Hosting and domain registrations are recurring services and generally require renewal each year unless otherwise specified.

Where hosting or domains are managed by us, we will provide reminder communications before renewal.

Payment should be made approximately 1 to 2 weeks before the renewal or expiry date to allow sufficient time for renewal.

If payment is not received before the required renewal date, the hosting service or domain may expire, be suspended or be cancelled.

We are not responsible for website downtime, domain expiry, loss of services or other consequences resulting from a client failing to pay a renewal invoice by the required date.

25. Monthly services

Our recurring monthly services may include SEO, social media marketing and management, PPC and paid advertising management, reputation management, CRM services, website maintenance and other recurring marketing, software or digital services.

Unless specifically stated otherwise in your proposal, contract or service agreement, our monthly services are provided on a no lock-in basis.

26. Cancelling monthly services

You are free to cancel a no lock-in monthly service by providing us with at least 20 days’ written notice before your next billing or renewal date.

The 20-day notice period is required because monthly services involve advance planning, staff allocation, campaign preparation, content creation and other scheduled work.

If less than 20 days’ notice is provided, the next monthly service period and its applicable fees may still become payable. Cancellation will then take effect from the following billing period.

Payments already made for work commenced or performed are generally non-refundable for change-of-mind cancellations, subject to your rights under Australian Consumer Law.

27. Cancelling multiple services

Cancellation of one service does not automatically cancel other services you have with us.

For example, cancelling SEO does not automatically cancel hosting, domain services, PPC, social media management, reputation management or another service.

Each applicable service must be cancelled separately.

28. Lock-in periods

Some services may have a minimum term or lock-in period where this has been specifically negotiated and agreed with you.

Any minimum commitment will be clearly stated in your proposal, contract or service agreement.

If no minimum term is stated, there is no lock-in period.

Where a minimum term has been expressly agreed, the cancellation conditions contained within that proposal, contract or service agreement will apply.

29. Termination by us

We may suspend or terminate a project or service where a client:

  • Fails to make payments when due

  • Repeatedly fails to provide information, access, feedback or approvals required for us to perform the service

  • Uses our services for unlawful or fraudulent purposes

  • Engages in abusive, threatening or seriously inappropriate conduct towards our staff or contractors

  • Materially breaches these Terms and Conditions or an applicable proposal or contract

Where reasonably practicable, we will provide notice and an opportunity to resolve the issue before terminating the service.

Termination does not remove the client’s obligation to pay amounts already due or amounts relating to work already completed or committed to before termination.

Any rights available to the client under Australian Consumer Law remain unaffected.

30. Website ownership

Until all amounts relating to the website project have been paid in full, the website and project work remain the property of Healthcare Marketing.

Once the final payment has been received, ownership of the completed website created specifically for the client transfers to the client, subject to third-party licences, software, plugins, fonts, stock assets or services that have their own licensing conditions.

We may withhold transfer, launch or administrative access until outstanding project payments have been received.

31. Portfolio and marketing rights

By engaging Healthcare Marketing, you agree that we may display work completed for your practice or organisation as part of our portfolio and marketing.

This may include the website, screenshots, practice or business name, project description or completed design on our website, portfolio, social media, advertising, promotional materials and case studies.

This does not transfer ownership of your business name, trademarks or branding to us.

32. Third-party services

Our services may rely on third-party providers including hosting providers, domain registrars, plugins, software platforms, APIs, advertising platforms, CRM systems, payment providers and search engines.

Third-party services may be subject to their own terms, pricing, licensing requirements and availability.

We are not responsible for outages, policy changes or failures caused solely by third-party platforms outside our reasonable control.

33. Force majeure

We are not responsible for delays or failures in providing services caused by events outside our reasonable control.

These may include natural disasters, severe weather, power or internet outages, widespread technical failures, cyber incidents affecting third-party infrastructure, government action, industrial disputes, war, civil disturbance, epidemics, pandemics or significant failures of third-party platforms or suppliers.

Where such an event occurs, affected timelines may be reasonably extended for the period during which the event prevents or materially delays us from performing the relevant services.

34. Australian Consumer Law

Nothing in these Terms and Conditions excludes, restricts or modifies any consumer guarantee, right or remedy that cannot legally be excluded under the Australian Consumer Law.

Where Australian Consumer Law applies, your statutory rights continue to apply regardless of any additional guarantee, refund policy or limitation contained in these Terms.

35. Governing law

These Terms and Conditions are governed by the laws of [State/Territory], Australia.

The parties submit to the jurisdiction of the courts and tribunals of that State or Territory where applicable.

36. Changes to these terms

We may update these Terms and Conditions from time to time.

The latest version will be published on healthcaremarketing.net.au and will state its effective date.

For an existing project, any specific terms contained in the proposal or contract accepted for that project will continue to apply unless otherwise agreed in writing.
